1. Who these terms are between
Forgemint (“Forgemint”, “we”, “us”) is a brand operated by INCAB RIDES PRIVATE LIMITED (CIN: U49224PB2025PTC065267), a company registered under the Companies Act, 2013, with its registered office at H No. 40B, Guru Fateh Town, Daun Majra, Kharar, Rupnagar – 140301, Punjab, India. These terms apply to anyone who visits forgemint.in, engages Forgemint for a project, or uses a tool on tools.forgemint.in (“you”).
By using this site or engaging us for work, you accept these terms. If you don't agree with them, please don't use the site or engage our services.
2. What we do
Forgemint builds websites, mobile apps, and custom software for businesses, and separately publishes a set of free utilities at tools.forgemint.in. Project work and the free tools are covered by different parts of these terms — Section 7 is specific to the free tools.
3. Getting a project started
A project begins with a proposal or statement of work covering scope, timeline, and price. Nothing is a binding commitment from either side until that proposal is agreed in writing (email is enough) — a conversation, a call, or a quote alone doesn't create an obligation to deliver or to pay.
Scope changes requested after a proposal is agreed are handled as a change request, which may adjust price and timeline. We will tell you before doing chargeable work outside the agreed scope.
4. Fees and payment
Project fees, payment schedule, and any upfront deposit are set out in the proposal for that project. Unless the proposal says otherwise, invoices are due within 7 days of being issued. Work may pause on an overdue invoice until it is settled, and a project abandoned by the client after work has started does not entitle them to a refund of amounts already due for work completed.
Payments are processed through Razorpay. We do not store your card or bank details — Razorpay handles that directly, under its own terms.
5. Your responsibilities
Timely delivery depends on you too: providing content, credentials, feedback, and approvals when we ask for them. A delay on your side moves the timeline by the same amount, and a delay past 60 days with no response from you may lead us to pause or close the project.
You're responsible for making sure anything you give us to use — text, images, brand assets, data — is yours to use, or that you have permission to use it. We are not liable for a copyright or trademark claim arising from material you supplied.
6. Ownership and intellectual property
Once a project is paid in full, ownership of the project-specific deliverables — the design, and any code written specifically for that project — transfers to you.
Forgemint keeps ownership of anything we brought into the project rather than built for it specifically: our own internal tools, boilerplate, component libraries, and general know-how. Where a project uses one of these, you get a perpetual licence to use it as part of your project — not ownership of the underlying tool itself, which we may reuse on other projects.
Unless you tell us otherwise in writing, we may reference the project (name, logo, screenshots, a short case-study description) in our own portfolio and marketing.
7. The free tools (tools.forgemint.in)
Tools on tools.forgemint.in are provided free, as a courtesy, and are covered separately from paid project work: they come with no service-level agreement and no guarantee of uninterrupted availability. A signed-in account is required for some tools purely to keep the underlying compute from being scraped — it doesn't change anything else in these terms.
You're responsible for having the right to upload whatever file you run through a tool. Don't use the tools for anything unlawful, or in a way intended to overload or abuse the service.
8. Confidentiality
Both sides agree to keep non-public information shared during a project confidential, and to use it only for that project. This doesn't cover information that was already public, already known to the receiving side, or independently developed without reference to the other party's confidential information.
9. Warranties and disclaimers
We build things carefully and stand behind our work, but we don't promise a specific business outcome — more traffic, more sales, a particular ranking — since those depend on factors outside our control. Deliverables are provided on an “as is” basis beyond any specific warranty stated in the proposal for that project.
The free tools are provided “as is” with no warranty of any kind, express or implied.
10. Limitation of liability
To the extent permitted by Indian law, Forgemint's total liability for any claim arising from a project is limited to the amount you paid us for that project in the 12 months before the claim. We are not liable for indirect, incidental, or consequential loss — lost profits or lost data, for instance — even if we were told such loss was possible.
Nothing in these terms limits liability that cannot be limited under Indian law, including liability for fraud.
11. Ending a project
Either side may end an ongoing project with 14 days' written notice. You remain liable for work completed and costs reasonably incurred up to the end date; we will deliver what has been completed to that point once outstanding invoices are settled.
12. Governing law
These terms are governed by the laws of India. Any dispute arising from them is subject to the exclusive jurisdiction of the courts at Rupnagar, Punjab.
13. Changes to these terms
We may update these terms as the business changes. The date at the top of this page is the last update; continuing to use the site or an ongoing project after a change means you accept the updated terms. A material change affecting an active project will also be communicated to you directly.
